Terms of Use

1. Acceptance of Terms

By accessing or using HoEasy ("the Service"), operated by Loming AI Limited ("we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the change becoming effective. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

4. Use of Services

HoEasy provides an AI agent platform that enables you to create, configure, and deploy autonomous AI agents across multiple channels including chat, email, WhatsApp, Slack, and WebSocket APIs. The Service includes features such as:

  • AI-powered chat and task automation
  • Multi-channel agent deployment
  • Custom skill creation and marketplace
  • Project and knowledge base management
  • File storage and processing
  • Scheduled task execution

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Content & Ownership

Your Content. You retain ownership of any content you submit, post, or display through the Service ("Your Content"). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store Your Content solely to provide and improve the Service.

Our Content. The Service, including its design, features, code, and documentation, is owned by Loming AI Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

6. AI-Generated Output

The Service uses artificial intelligence models provided by third-party providers to generate responses and perform tasks ("Output"). You acknowledge that:

  • Output may not always be accurate, complete, or up-to-date. You should independently verify important information before relying on it.
  • Output does not represent the views or opinions of HoEasy.
  • Similar inputs from different users may produce identical or similar Output. No user has exclusive rights to any particular Output.
  • You are responsible for your use of Output and for ensuring it complies with applicable laws.
  • You should not rely on Output for medical, legal, financial, or other professional advice.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or privacy rights of others.
  • Generate or distribute malware, spam, or phishing content.
  • Harass, abuse, or harm another person or group.
  • Generate content that exploits or harms minors.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Circumvent usage limits, rate limits, or security measures.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service in a manner that could disable, overburden, or impair its functioning.
  • Resell, sublicense, or provide access to the Service to third parties without authorization.
  • Use Output to train competing AI models without our explicit written consent.

8. Subscriptions & Billing

HoEasy offers free and paid subscription plans. If you choose a paid plan:

  • Billing. You will be billed in advance on a recurring monthly basis. Payment is processed through our third-party payment provider (Paddle).
  • Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
  • Price Changes. We may change subscription prices with at least 30 days' notice. Continued use after the price change takes effect constitutes your agreement to the new price.
  • Free Tier. The free tier is subject to usage limits and may be modified or discontinued at our discretion.

9. Credits & Usage

The Service operates on a credit system. Credits are consumed when AI agents perform actions, including processing messages through language models. Credit allocations vary by subscription plan:

  • Free: 100 credits per month
  • Pro: 20,000 credits per month
  • Max: 100,000 credits per month

Unused credits do not roll over to the next billing period. Credits reset on your monthly subscription anniversary date. We reserve the right to adjust credit allocations and consumption rates with reasonable notice.

10. Third-Party Services

The Service may integrate with or rely on third-party services, including AI model providers, messaging platforms, and payment processors. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:

  • Your right to access and use the Service ceases immediately.
  • We may delete your account data after a reasonable retention period.
  • Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated output may contain errors, biases, or inaccuracies. We make no warranties regarding the quality, accuracy, or reliability of any output generated through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOMING AI LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any errors, mistakes, or inaccuracies in AI-generated output.
  • Any interruption or cessation of the Service.

Our total aggregate liability to you for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Loming AI Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we may also send an email notification. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Loming AI Limited operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.
